§ 1 Scope

(1) These GTC apply to all contracts for the provision of services (e.g., software development, app programming, licensing of startups like vibecard.de, galaxislink.com, nejatpro.com, susumenu.com) between Majesty Developers (Owner: Omar Awel, Irenenstr. 66, 40468 Düsseldorf) and the customer.

(2) Deviating conditions of the customer are only recognized if they have been agreed upon in writing.

§ 2 Conclusion of Contract

The contract is concluded by the acceptance of our offer or the confirmation of the order. Oral side agreements require written form.

§ 3 Service Description & Remuneration

(1) We provide services according to individual agreement (e.g., development of web/mobile apps with AI integration).

(2) Remuneration: Flat rate [e.g., €5,000] or hourly-based [e.g., €100/hr], plus VAT. Payment: 50% down payment, remainder upon acceptance. Dunning costs: €5, default interest: 9% above the base interest rate.

§ 4 Ownership & Rights

(1) Source code and rights are transferred to the customer upon full payment (simple user license). Majesty reserves retention of title.

(2) For startups (e.g., vibecard.de): Licensing according to § 69a UrhG (German Copyright Act) - commercial use permitted, no resale without consent.

§ 5 Acceptance & Warranty

(1) The customer shall inspect the service for defects within 14 days.

(2) Warranty: 12 months, defect rectification free of charge. No liability for consequential damages.

§ 6 Liability

Liability only for intent/gross negligence. Data protection: See Privacy Policy.

§ 7 Cancellation

See cancellation policy.

§ 8 Place of Jurisdiction

Düsseldorf, as far as legally permissible.

§ 9 Severability Clause

Invalid clauses will be replaced by valid ones.
